PVARA Token Issuance Rules Explained: ARTs, FRTs and What Issuers Need

PVARA's token issuance rules, in force since 21 August 2026, make issuing stable-value tokens in Pakistan a licensed activity. They create two classes, Fiat-Referenced Tokens (FRTs) and Asset-Referenced Tokens (ARTs), and require each issuer to hold PKR 300 million in paid-up capital, keep reserves of at least 100% of redemption liabilities, and publish a whitepaper before offering a token to the public.

Key takeaways

  • The rules sit under the Virtual Assets Act 2026 and the Pakistan Virtual Asset Services Regulations 2026, notified on 21 August 2026.
  • FRTs track one fiat currency and must be redeemable at par, ordinarily within 24 hours. ARTs reference an asset, basket or right and redeem according to a disclosed valuation method.
  • Minimum paid-up capital is PKR 300 million per issuance category.
  • Reserves must be segregated, unencumbered and held with a PVARA-licensed custodian or another accepted regulated entity.
  • Issuers above PKR 5 billion in token market cap or 5 million Pakistan-based holders become "significant" and need extra own funds.
  • Startups that cannot meet the capital bar still have routes: the sandbox, partnering, or building infrastructure for licensed issuers.

Where the token issuance rules come from

Parliament made the Pakistan Virtual Assets Regulatory Authority (PVARA) a permanent statutory body in March 2026 under the Virtual Assets Act 2026. PVARA ran a public consultation on its regulations from 11 June to 2 July 2026 and launched its licensing regime in August 2026 (TechJuice, The Nation).

The regime has 10 licence categories: exchange, custody, broker-dealer, advisory, lending and borrowing, derivatives, asset management, transfer and settlement, issuance, and mining-related services. Issuance is where the token rules live.

According to a legal summary by Cryptoverse Lawyers, the governing documents are the Virtual Assets Act 2026, the Pakistan Virtual Asset Services Regulations 2026 (notified 21 August 2026) and the Activity-Specific Regulations 2026 (Cryptoverse Lawyers). Always read the official text on pvara.gov.pk before relying on any summary, including this one.

The two token classes: FRT vs ART

Fiat-Referenced Tokens (FRTs)

An FRT aims to keep a stable value by reference to a single fiat currency. In everyday language this is a stablecoin, for example a token meant to track one Pakistani rupee or one US dollar.

  • Reserves: high-quality liquid assets, or other assets PVARA approves, ordinarily denominated in the reference currency.
  • Redemption: at par. A complete and valid request should ordinarily be executed within 24 hours, with disclosed exceptions such as non-business days or banking hours.

Asset-Referenced Tokens (ARTs)

An ART references another asset, a basket of assets, or a right. Tokenized gold or a token referencing a property fund would sit here.

  • Reserves: must be the referenced assets themselves.
  • No crypto backing: an ART may not be backed by, or derive its value from, other virtual assets.
  • Redemption: according to the valuation basis approved and disclosed in the whitepaper.

Capital requirements: PKR 300 million

Each issuance category requires minimum paid-up capital of PKR 300 million. A firm issuing both FRTs and ARTs should check with counsel whether it needs to meet this for each category, as the summary describes the requirement per category.

This number is the single biggest filter. It means token issuance in Pakistan is designed for banks, established fintechs and well-funded groups, not for two developers with a laptop. That is not bad news for developers, as we explain below.

Reserve rules: 100%, segregated, in custody

Reserves must equal at least 100% of outstanding redemption liabilities. They must be:

  • Unencumbered and freely available for redemption.
  • Segregated from the issuer's own assets.
  • Held with a PVARA-licensed custodian or another regulated and supervised entity PVARA accepts.
  • Protected against unauthorised pledge, set-off or rehypothecation.

For engineers, this creates a clear technical need: reconciling on-chain supply with off-chain reserve balances, publishing that reconciliation, and blocking minting when the numbers do not match. Proof-of-reserve tooling is one of the most practical services a developer can build in this market.

The whitepaper requirement

Issuers must prepare, publish and maintain a whitepaper before the token is offered, marketed or made available to the public, unless PVARA grants an exemption. The summary lists the content as including:

  • The issuer and its governance
  • Token structure and holder rights
  • Reserve assets and custody
  • Redemption rights and process
  • Risks
  • The technology used
  • Applicable law and dispute forum

The technology section is where developers add value. It needs to describe the chain, the contract architecture, admin keys, upgradeability, pause and freeze powers, and audit status accurately. Overstating security or decentralisation in a regulated whitepaper creates legal exposure for the issuer.

Each issuance also requires notification to or approval from PVARA, and the Authority may require prior approval for retail-facing, complex, restricted or systemically significant programmes.

Significant issuers

An issuer becomes "significant" when either:

  • token market capitalisation exceeds PKR 5 billion, or
  • more than 5 million Pakistan-based users hold the token.

Significant issuers must keep additional own funds of at least 3% of reserve assets. The logic is the same as for large banks: a failure at that scale affects many people.

Compliance checklist for a would-be issuer

Use this as a planning list, not legal advice.

  • Decide whether the product is an FRT, an ART, or neither (some tokens may fall under securities law instead).
  • Confirm the PKR 300 million capital plan for each relevant category.
  • Choose a custodian that PVARA licenses or accepts.
  • Design reserve segregation and daily reconciliation.
  • Draft the whitepaper with legal, finance and engineering together.
  • Define redemption operations that can meet the 24-hour norm for FRTs.
  • Set up KYC/AML and transaction monitoring.
  • Get the smart contracts audited and document admin powers.
  • Prepare reporting for PVARA and for holders.
  • Plan for significant-issuer status if growth is expected.

What it means for startups that cannot meet the capital bar

Most Pakistani startups and freelance developers will not raise PKR 300 million to become issuers. There are three realistic routes.

1. Enter the PVARA sandbox

PVARA's regulatory sandbox, launched 20 February 2026, lists tokenization of real-world assets and stablecoin issuance among its focus areas, with asset-backed tokens as an initial priority. Testing can run up to 18 months with extensions, under defined limits (Crypto Times, Startup.pk). The sandbox still expects a working product, risk framework and compliance lead. See TK-03.

2. Partner with a licensed or well-capitalised issuer

A startup can bring technology and distribution while a bank or larger group holds the licence and reserves. Contracts must make responsibilities clear, and the licensed party will run its own due diligence on your code and processes.

3. Build for issuers instead of becoming one

This is the route most developers should consider first. Every licensed issuer needs:

  • Audited token contracts with transfer controls
  • KYC integration and identity registries
  • Reserve reconciliation and proof-of-reserve dashboards
  • Redemption workflows and admin panels
  • Monitoring, alerting and incident playbooks
  • Accurate technical documentation for whitepapers

These are products and services you can build, sell and list without holding an issuance licence yourself. Whether a specific service needs its own licence (for example, custody or transfer and settlement) is something to check with counsel. TK-09 covers the service menu.

How the rules connect to the wider market

The rules arrive as Pakistan explores bigger tokenization projects. In December 2025 the Finance Ministry signed a non-binding MoU with Binance to explore tokenizing up to USD 2 billion of state assets, and PVARA's chairman said Pakistan would launch a sovereign stablecoin (The Block). In January 2026, Pakistan signed an MoU with World Liberty Financial to explore its USD1 stablecoin for cross-border payments (The Block). MoUs signal interest; they are not licences or launches.

Two practical lessons follow. First, the rules are new, so expect guidance, FAQs and interpretations to keep arriving. Second, anything you build now should be easy to change: configurable limits, modular compliance and clear documentation will save rework as PVARA clarifies details.

At Digital Silk Route (DSR), we read these rules as a map of what issuers will need built, not only as a list of restrictions.
