Real Estate Tokenization in Pakistan: How It Works and What's Allowed
How real estate tokenization works in Pakistan: deal structure, SPVs, title, PVARA and SECP rules, what's live or planned, and the risks to check first.
Real Estate Tokenization in Pakistan: How It Works and What's AllowedReal estate tokenization in Pakistan means placing a property, or rights to its income, inside a legal entity and issuing blockchain tokens that represent defined shares of that entity or its cash flows. It is not the same as putting a land title on a blockchain. In 2026, offering such tokens to the public falls under a regulatory regime (PVARA for virtual assets, with SECP rules relevant where tokens act like securities or fund units), so the legal structure matters as much as the code.
Key takeaways
- Property is Pakistan's most popular store of value, which is why tokenization interest is high, but most of the hard work is legal, not technical.
- A typical deal uses a special purpose vehicle (SPV) that owns the property; tokens represent a claim on the SPV, not the plot directly.
- Pakistan has local precedent: SECP's 2021 sandbox cohort approved a real estate tokenization solution, and DAO Proptech operated in the space before Fasset acquired it in 2025.
- PVARA's 2026 token issuance rules require licensed issuers, 100% reserves of the referenced asset for ARTs, and a whitepaper before marketing.
- Key risks: weak title, unclear tax treatment, illiquid secondary markets, valuation disputes and custody of documents.
Why real estate tokenization gets so much attention in Pakistan
For many Pakistani families, a plot or a file is the default savings plan. Property is familiar, physical and seen as a hedge against inflation. It is also hard to divide, slow to sell, and often expensive to enter.
Tokenization promises to address those pain points: smaller ticket sizes, clearer records, and easier transfer. Those promises are partly real and partly marketing. This guide separates the two.
Government interest is visible. In August 2026 the Finance Division said it was examining digital assets and tokenization, including possible applications in real estate and other investment assets (Profit). That is a policy signal, not a rule or a programme.
How a tokenized property deal is structured
A clean structure usually has six parts.
1. The property and its title
Everything starts with clear ownership. If title is disputed, encumbered or poorly documented, no token can fix it. Title verification, encumbrance checks and approvals from the relevant development authority come first.
2. The special purpose vehicle (SPV)
A company or trust is set up to own just this property. Investors do not own bricks; they own shares, units or contractual rights in the SPV. This keeps the asset separate from the developer's other business and its creditors.
3. The rights the token represents
The deal documents must say exactly what one token gives you. Common options:
- Equity: a share of the SPV and its eventual sale proceeds.
- Income rights: a share of rental income, without ownership of the building.
- Debt: a claim to fixed payments secured on the property.
Each of these may be treated differently by regulators and tax authorities.
4. The token contract
The contract records holders and enforces rules: only KYC-verified wallets can hold tokens, transfers may be limited by country or investor type, and an agent can freeze or recover tokens under a court order. Permissioned standards such as ERC-3643 are designed for this (see TK-07).
5. Distributions and reporting
Rent, expenses and valuations must flow from the property manager to token holders. This usually means a reporting dashboard, periodic valuations by independent valuers, and on-chain or off-chain distribution of income.
6. Secondary transfer
Holders may want to sell. That needs a venue or matching mechanism, and in a regulated setting it may need a licensed exchange, broker-dealer or transfer agent. Without buyers, tokens are transferable but not liquid.
| Component | Question it answers | Who is responsible |
|---|---|---|
| Title | Who owns the property? | Owner, lawyers, authority records |
| SPV | What exactly do investors own? | Lawyers, corporate registrar |
| Token rights | What does one token give me? | Issuer, legal counsel |
| Token contract | Who can hold and transfer? | Developers, auditors |
| Reporting | Is the asset performing as stated? | Property manager, valuer |
| Secondary market | Can I sell, and to whom? | Licensed venue, issuer |
What's live, planned and reported in Pakistan
Be careful with headlines in this space. Here is what is documented:
- SECP sandbox, 2021. SECP's second regulatory sandbox cohort approved a real estate asset tokenization solution among other fintech products (SECP).
- DAO Proptech and Fasset. DAO Proptech, founded in 2020, ran a real estate tokenization platform in Pakistan. When Fasset announced its acquisition in November 2025, coverage reported that DAO had tokenized over USD 150 million in real estate across about 2,000 units, with minimums from USD 25 (The Friday Times). These are company-reported figures.
- Fasset and HRL. In February 2026 Fasset announced a partnership with Habib Rafiq Limited covering asset tokenization and other digital finance initiatives in Pakistan. Coverage did not name specific projects or regulatory approvals (The Nation).
- Government statements. Besides the Finance Division's August 2026 statement, PVARA's leadership has spoken about tokenized sovereign notes and capital markets (TechJuice).
We name these companies only as examples. This is not an endorsement or a recommendation to use any platform.
What's allowed: the legal questions to ask
PVARA and the token issuance rules
Under the Virtual Assets Act 2026, issuance is a licensed activity. PVARA's token issuance rules, effective 21 August 2026, define Asset-Referenced Tokens (ARTs) as tokens referencing an asset, basket or right. ART reserves must be the referenced assets, may not be backed by other virtual assets, and must cover at least 100% of redemption liabilities. Issuers need PKR 300 million paid-up capital and must publish a whitepaper before marketing (Cryptoverse Lawyers). Whether a given property token is an ART, a security, or something else is a question for counsel.
SECP and securities or fund rules
If a property token behaves like a share or a fund unit, securities law may apply. Pakistan already has regulated property funds: SECP oversees Real Estate Investment Trusts under the Real Estate Investment Trust Regulations 2022, which SECP revised in January 2026 (Profit). A tokenized deal should be checked against both regimes.
Title and land records
Land records in Pakistan are kept by provincial and local authorities and development bodies. A token does not update those records. Your structure must explain how the SPV's ownership is registered and how token holders are protected if records are challenged.
Tax
Property transfers, rental income and capital gains have tax consequences, and how FBR and provincial authorities treat tokenized interests is not something to guess. Get tax advice before launching, and disclose the treatment clearly to holders.
Risks of real estate tokenization
- Title risk: the asset may not be what the documents claim.
- Structure risk: a badly drafted SPV may give token holders weaker rights than they think.
- Liquidity risk: there may be no buyer when you want to sell.
- Valuation risk: property prices are opinions until a sale happens.
- Operator risk: the issuer, property manager or custodian can fail.
- Smart contract risk: bugs, compromised admin keys or poor upgrade controls.
- Regulatory risk: rules are new and still being interpreted.
No structure makes property tokens safe or guarantees a return. Anyone promising fixed profits from tokenized property should be treated with caution.
Skills you need to work in property tokenization
If you are a developer or graduate student, real estate tokenization needs:
- Permissioned token contracts with identity checks, freezing and recovery.
- Distribution logic for rental income, with clear rounding and audit trails.
- Investor and issuer dashboards showing holdings, documents and valuations.
- Document and data pipelines linking valuations and reports to on-chain records.
- Integration with KYC providers and, where relevant, licensed custodians and banks.
- Clear technical writing for whitepapers and investor disclosures.
A strong portfolio project: a testnet SPV token with allowlisted holders, a mock rent distribution function, and a dashboard that shows supply, holders and the latest valuation report hash. TK-08 walks through the technical steps.
An illustrative structure: how a fractional property token could be modelled
The following is a simplified, hypothetical model to show how the pieces fit. It is not a real deal and contains no return figures.
- Asset: a completed commercial building with clear title.
- SPV: a company created only to own this building.
- Token rights: each token represents an equal share of the SPV's equity, with a pro-rata right to distributed rental income and sale proceeds, as set out in the offering documents.
- Supply: a fixed number of tokens minted once at launch; no further minting without a documented corporate action.
- Holders: only wallets that have passed KYC through the issuer's provider and are recorded in the identity registry.
- Distributions: the property manager reports rent and expenses each period; after approval, the net amount is made claimable by holders based on a balance snapshot at the record date.
- Reporting: a dashboard shows supply, number of holders, latest valuation report (with its document hash recorded on-chain) and the distribution history.
- Exit: if the building is sold, proceeds are distributed and tokens are burned, following the rules in the documents.
Each bullet maps to a contract module, an off-chain process, or both. Notice how many of them are legal and operational rather than technical.
At Digital Silk Route (DSR), we encourage builders to treat property tokenization as a legal and operational project first and a coding project second.
Next step with Digital Silk Route
Property tokenization rewards builders who respect both the code and the paperwork. Digital Silk Route (DSR) covers this in the Tokenization track of its AI & Crypto Academy, from Beginner to Advanced, where capstones include a permissioned asset token and an investor reporting dashboard. Turn your capstone into a template and list it on the DSR Marketplace. Learn. Build. Earn.
