What Is Tokenization? Real-World Assets Explained for Pakistan

Real-world asset (RWA) tokenization is the process of recording ownership of, or a claim on, a physical or financial asset as a digital token on a blockchain. The token does not replace the asset; a legal structure links the two, so whoever holds the token holds a defined right to the asset or its value. In Pakistan, issuing such tokens to the public is now a regulated activity under PVARA's 2026 rules.

Key takeaways

  • A token is only as good as the legal agreement and the reserve behind it. The blockchain records the claim; it does not guarantee the asset exists.
  • Tokenization has four layers: the asset, a legal wrapper, the token contract, and a registry of who is allowed to hold it.
  • Common examples are gold, property, invoices, bonds and fund units.
  • Pakistan's Virtual Assets Act 2026 and PVARA's token issuance rules (in force since 21 August 2026) define Asset-Referenced Tokens and Fiat-Referenced Tokens and set capital and reserve requirements.
  • For developers, tokenization is a skills market: contracts, compliance logic, dashboards and reserve reporting all need builders.

What tokenization means in plain words

Think of a property file in a housing society. The file is a piece of paper that says you have a claim on a plot. It is not the plot itself. If the society's records are wrong, the file is worth very little.

A token works the same way. It is an entry in a smart contract that says "this wallet holds 10 units of X." Whether those 10 units mean anything depends on three questions:

  1. Does the underlying asset really exist, and who holds it?
  2. Is there a legally enforceable agreement that gives token holders a right to it?
  3. Can a holder actually redeem, sell or transfer that right?

Tokenization is the work of answering those questions well and then encoding the answers in software. That is why it sits between law, finance and engineering, and why it is a good field for developers who like systems with real constraints.

How real-world asset tokenization works: the four layers

1. The asset

Anything with a reliable value and a clear owner can in principle be tokenized: a gold bar in a vault, a rental building, a pool of trade invoices, a government bond, or units of a mutual fund. Assets with clean title and simple valuation are far easier than assets with disputed ownership or unclear pricing.

A blockchain cannot hold a building. Usually a company or special purpose vehicle (SPV) owns the asset, and the token represents shares, units or a contractual claim against that entity. For gold, a custodian holds the metal and the issuer promises redemption. The legal wrapper is where most real risk lives.

3. The token contract

The smart contract defines the token: its supply, who can mint and burn it, and the rules for transfer. Many RWA tokens are permissioned, meaning only verified wallets can hold them. Standards such as ERC-3643 exist for this (see TK-07).

4. The registry and data feeds

Someone has to keep the on-chain picture in line with the off-chain world: KYC status of holders, reserve balances, valuations and corporate actions such as rent or interest payments. This is done with identity registries, oracles and audit reports.

Examples of tokenized assets

Gold. Each token represents a fixed weight of gold held by a custodian. In April 2025, SECP granted Fasset a regulatory sandbox licence for what was described as Pakistan's first tokenized gold product, with units from PKR 100, 1:1 gold backing and an option to redeem physical gold above a threshold (Startup Pakistan). We mention it as an example of structure only, not as an endorsement. See TK-05 for a full breakdown.

Property. Fractions of a building or project are represented by tokens. Pakistan has local history here: SECP's second sandbox cohort in 2021 included a real estate asset tokenization solution (SECP). See TK-04.

Invoices and receivables. A business tokenizes unpaid invoices so financiers can fund them. The hard part is verifying the invoice is real and not pledged twice.

Government debt and commodities. In December 2025, Pakistan's Finance Ministry signed a non-binding memorandum of understanding with Binance to explore tokenizing up to USD 2 billion of state assets such as bonds, treasury bills and commodity reserves (The Block). An MoU is an intention to explore, not a live product.

Benefits of tokenization, and the real limits

Supporters list several benefits. Some hold up well; some depend heavily on the structure.

Benefits that are real when the structure is sound

  • Smaller units. An asset can be divided into small pieces, which lowers the minimum ticket size.
  • Faster settlement. Transfers between verified wallets can settle in minutes instead of days.
  • Programmable rules. Transfer limits, KYC checks and distributions can be enforced in code.
  • Shared records. Auditors and holders can check supply and transfers on-chain.

Limits that people skip

  • Code cannot fix a bad legal claim. If the SPV is badly drafted, the token is weak no matter how good the contract is.
  • Liquidity is not automatic. A token can be transferable and still have no buyers. Fractional ownership does not create demand.
  • Oracles can be wrong. Off-chain data feeds can be stale, manipulated or simply misreported.
  • Custody risk remains. Someone still holds the gold or the title deed.
  • Regulation applies. In most countries, including Pakistan, offering tokens to the public needs a licence.

A useful habit: whenever you read "tokenization unlocks liquidity," ask "who is the buyer, and under what rules can they buy?"

Pakistan's tokenization rules in 2026

Pakistan's framework moved quickly this year.

  • The Act. Parliament made the Pakistan Virtual Assets Regulatory Authority (PVARA) a permanent statutory body in March 2026 under the Virtual Assets Act 2026, and the licensing regime launched in August 2026 (TechJuice, The Nation).
  • Issuance as a licensed activity. Issuance is one of 10 licence categories.
  • Two token classes. The token issuance rules, effective 21 August 2026, separate Fiat-Referenced Tokens (FRTs), which are stable against one fiat currency, from Asset-Referenced Tokens (ARTs), which reference an asset, a basket or a right (Cryptoverse Lawyers).
  • Capital and reserves. Each issuance category needs PKR 300 million minimum paid-up capital, and reserves must cover at least 100% of outstanding redemption liabilities. ART reserves must be the referenced assets themselves and may not be backed by other virtual assets.
  • Whitepaper. A whitepaper describing the issuer, rights, reserves, redemption, risks, technology and governing law is required before a token is offered or marketed.
  • Sandbox. PVARA's regulatory sandbox, launched 20 February 2026, gives priority to asset-backed tokens and allows testing for up to 18 months (Crypto Times).

Officials are also talking about tokenization more widely. In August 2026 the Finance Division said it was examining digital assets and tokenization, including possible use in real estate (Profit). Statements like this signal direction; they are not rules.

For a builder, the takeaway is simple: you can learn, prototype and build tooling freely on testnets, but launching a token to Pakistani users is a regulated business. TK-02 and TK-03 cover the rules and the sandbox in detail.

Tokenization vs crypto vs NFTs

People mix these up. Bitcoin is a native crypto asset; nothing off-chain backs it. An NFT is a unique token, often used for collectibles or certificates. An RWA token is usually fungible and claims to represent something off-chain. TK-10 has a full comparison table.

Skills you need to work in tokenization

Tokenization teams need more than Solidity. A typical project touches:

  • Smart contracts: ERC-20, permissioned token standards, access control, upgrade patterns, testing with Foundry or Hardhat.
  • Identity and compliance: KYC provider integrations, on-chain identity registries, transfer restriction logic.
  • Data and oracles: proof-of-reserve feeds, valuation updates, event indexing.
  • Front end and dashboards: issuer admin panels, investor portals, reserve transparency pages.
  • Documentation: helping legal teams describe the technology section of a whitepaper accurately.
  • Security: threat modelling, audits and incident response.

These map directly to services a developer can offer to licensed issuers, banks and fintechs. TK-09 lists them with buyer types.

How to start learning tokenization

  1. Learn ERC-20 deeply: balances, allowances, events and the _update hook in OpenZeppelin v5.
  2. Build a simple permissioned token on a testnet where only allowlisted wallets can receive transfers.
  3. Add a mock reserve feed and block minting when reserves fall short.
  4. Read the EIP for ERC-3643 and map each component to a real-world role.
  5. Read PVARA's published material and a plain summary of the issuance rules.
  6. Package one piece of this as a reusable product, for example a reserve dashboard template.

This builder-first view of tokenization is the one we take at Digital Silk Route (DSR): understand the asset and the rules first, then write the code.
